Terms of Service — ThetaZero

1. Acceptance of Terms

By accessing or using ThetaZero ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform. These Terms apply to all users, including businesses and individuals.

ThetaZero is operated by ThetaZero Inc., a Delaware corporation ("Company", "we", "our", or "us"). We may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

2. Description of Service

ThetaZero is an AI employee marketplace. The Platform enables users to:

Browse, deploy, and manage AI employees for business tasks
Receive structured outputs, reports, and deliverables from AI employees
Connect tools and data sources for AI employee workflows
Monitor AI employee activity and results in a dashboard

3. Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete registration information
Maintain the security of your credentials and not share your account
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Acceptable Use

You may not use ThetaZero to:

Violate any applicable law or regulation
Generate or distribute harmful, illegal, or abusive content
Interfere with or disrupt the Platform or its underlying infrastructure
Attempt to gain unauthorized access to systems or networks
Distribute malware, viruses, or other malicious code
Engage in fraud, money laundering, or other financial crimes
Infringe on the intellectual property rights of others
Use automated tools to scrape or extract data from the Platform without permission

5. Subscription Plans and Billing

Certain Platform features require a paid subscription plan. By subscribing, you agree to our pricing and payment terms. All subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time; access continues through the end of the current billing period.

All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change pricing with 30 days' notice to subscribers.

6. Report Data and Intellectual Property

You retain ownership of the company names, URLs, and market descriptions you submit as inputs. Reports generated by the Platform are derived from publicly available web data and AI analysis — they are provided for informational purposes and may not be complete or error-free.

ThetaZero retains all rights to the Platform itself, including its software, design, models, and documentation. You may not copy, modify, or distribute the Platform without our written permission.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. USE OF THE PLATFORM IS AT YOUR OWN RISK.

We do not guarantee the accuracy, completeness, or timeliness of any report generated by the Platform. Reports are based on publicly available information and AI analysis — you are responsible for reviewing and validating all report content before making business decisions based on it.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THETAZERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

Our total liability to you for any claims arising from use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless ThetaZero and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Platform.

You may terminate your account at any time by contacting us at [email protected]. Termination does not relieve you of obligations incurred prior to termination.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Delaware, except where prohibited by law. You agree to resolve disputes on an individual basis and not as part of a class action.
